3. Services
Web Butler Ltd offers a range of services, including but not limited to:
- Website design and development
- Search engine optimisation (SEO)
- AI and business process automation
- Photography
- Web application and portal development
- Website hosting, care and aftercare
4. Quotations and contracts
4.1 All quotations provided by Web Butler Ltd are valid for 30 days from the date of issue.
4.2 A contract is formed between Web Butler Ltd and the Client when the Client accepts a
quotation in writing or by electronic means.
5. Payment terms
5.1 The Client agrees to pay Web Butler Ltd the fees specified in the quotation.
5.2 Payment is due within 30 days of the invoice date unless otherwise agreed in writing.
5.3 Web Butler Ltd reserves the right to charge interest on overdue amounts at the rate of
4% per annum above the Bank of England base rate.
5.4 The initial payment made at the start of the project is strictly non-refundable.
6. Client responsibilities
6.1 The Client agrees to provide Web Butler Ltd with all necessary information, materials,
and access required to perform the services.
6.2 The Client is responsible for ensuring that any information or materials provided to
Web Butler Ltd do not infringe the intellectual property rights of any third party.
7. Intellectual property
7.1 All intellectual property rights in the services provided by Web Butler Ltd, including
any designs, code, content, and marketing materials, remain the property of Web Butler Ltd
until full payment has been received.
7.2 Upon full payment, Web Butler Ltd grants the Client a non-exclusive, royalty-free
license to use the deliverables for their intended purpose.
8. Confidentiality
8.1 Both parties agree to keep confidential all information disclosed by the other party
that is marked as confidential or would reasonably be considered confidential.
8.2 This confidentiality obligation remains in effect for two years after the termination
of the agreement.
9. Limitation of liability
9.1 Web Butler Ltd shall not be liable for any indirect, incidental, or consequential
damages arising out of or in connection with the services provided.
9.2 The total liability of Web Butler Ltd under this agreement shall not exceed the total
fees paid by the Client for the services.
10. Termination
10.1 Either party may terminate the agreement by providing 30 days written notice to the
other party.
10.2 Web Butler Ltd may terminate the agreement immediately if the Client breaches any of
these terms and conditions.
11. Governing law
These terms and conditions are governed by and construed in accordance with the laws of
England and Wales. Any disputes arising out of or in connection with these terms and
conditions shall be subject to the exclusive jurisdiction of the courts of England and
Wales.
12. Amendments
Web Butler Ltd reserves the right to amend these terms and conditions at any time. Any
amendments will be posted on our website and will take effect immediately upon posting.
